从我司采购需遵循以下合规条款:

All purchasing from Viewpro must be sure these compliance:

（1）遵守法律法规

Compliance with Laws and Regulations

在使用从我司采购的货物时严格遵守包括但不限于出口管制法规在内的全部中华人民共和国法律法规。

When using the goods purchased from Viewpro, the Buyer shall strictly comply with all laws and regulations of the People's Republic of China, including but not limited to export control regulations.

买方确认，已知悉所购货物可能有部分或全部属于《中华人民共和国出口管制法》《两用物项进出口管理条例》等中国法律法规管制的两用物项，并承诺严格按照中国法律、行政法规及相关出口管制政策使用、存储及处置货物，不得将货物用于任何与大规模杀伤性武器、恐怖主义活动相关的用途，或向联合国安理会决议及中国法律法规禁止的国家、地区、组织或个人提供货物。

The Buyer confirms that it has been informed that some or all of the purchased goods may be dual-use items controlled by Chinese laws and regulations such as the "Export Control Law of the People's Republic of China" and the "Regulations on the Administration of Import and Export of Dual-Use Items", and commits to use, store and dispose of the goods in strict accordance with Chinese laws, administrative regulations and relevant export control policies. The goods shall not be used for any purpose related to weapons of mass destruction or terrorist activities, or provided to countries, regions, organizations or individuals prohibited by the United Nations Security Council resolutions and Chinese laws and regulations.

（2）禁止擅自转让及出口

Prohibition of Unauthorized Transfer and Export

未经我司事先书面同意及中国主管部门的出口许可（如需），买方不得将货物直接或间接转让、转运至第三方或出口，或以任何形式变更载明于买卖合同内货物的最终用户以及最终用途。

Without the prior written consent of Viewpro and the export license of the Chinese competent authorities (if required), the Buyer shall not directly or indirectly transfer, transship or export the goods to a third party, or change in any form the end user and end use of the goods stated in the sales contract.

（3）最终用户合规

End-user compliance

若买方需将货物提供给下游用户，应确保下游用户同样遵守合规承诺的全部条款，并要求下游用户提供最终用户和最终用途证明文件；我司有权对买方及下游用户的最终用途进行合规审查，买方须全力配合。

If the purchaser needs to provide goods to downstream users, it shall ensure that the downstream users also comply with all the terms of the compliance commitment and require the downstream users to provide documents proving the end-user and end-use. We have the right to conduct a compliance review of the end-use of the purchaser and the downstream users, and the purchaser shall fully cooperate.

（4）违约责任

Liability for breach of contract

如买方违反上述承诺，买方将全额赔偿买方违约行为为我司造成的全部直接、间接以及预期损失，并支付我司向买方主张违约责任支出的包括但不限于诉讼费、保全费、律师费等全部费用。

If the purchaser breaches the above commitment, the purchaser shall fully compensate Viewpro for all direct, indirect and anticipated losses caused by the purchaser's breach of contract and pay all expenses incurred by Viewpro in claiming breach of contract against the purchaser, including but not limited to litigation fees, preservation fees, attorney fees, etc.
